Conditions of Sale

 

At Caribe USA we are committed to being a valuable partner in your continuing effort to maintain and upgrade your manufacturing facilities. No repairs or remanufactured items are carried in stock or outsource by Caribe USA. All items are original replacement components purchase from their respective manufacturers. We will submit a Certificate of Conformance to the same if required.

We are continually upgrading our sources to meet the stringent requirements of our customers.

Remember

When choosing components for replacement, follow warnings and safety instructions as recommended by consulting the equipment manuals.

Placing an order
 
Placing an order with our company is a binding agreement to our conditions of sale. You may place and order by calling us at: 714.926.6800 or by submitting it by fax to 714.242.1963

Minimum order

All orders under $100.00 must be paid C.O.D. Our minimum order is $100.00 dollars.

Prices

All prices are quoted at time of submittal for a request for a quote. Please note that all prices will be quoted in U.S. dollars and are subject to change without notice due to circumstances beyond our control. Prices billed will be those in effect at time of order placement or in quotation if applicable. Special packaging requirements and pricing will be noted on your quotation if required.

 
Billing terms

Our open account terms are 2% cash discount for payments received within 10 days, net 30 days. All taxes required by law, if any, are computed and added to your invoice. All orders subject to shipment outside the continental Unites States are to be prepaid by wire transfer payment. 

 
Export shipments

Caribe USA is accustomed and has extensive experience in handling your export orders. We offer prompt replies on you request including Pro Forma Invoice. CIF Port of Unloading, and export crating on all our products when required.

 
Freight

All shipments are F.O.B. shipping point. This term means the carrier accepts all responsibility upon accepting the shipment at our dock. Therefore, any claims for damages or loss of any goods must be settle between you and the carrier promptly. Shipping and handling charges will be added to all shipments.

 
Delivery

All sales are F.O.B. point of shipment, with title passing upon delivery to carrier at point of shipment, irrespective of who selects the carrier. Manufacturer's shipping dates quoted and given in advance of actual shipments are best estimates and shall not be deemed to represent fixed or guaranteed shipping dates. Caribe USA shall not be liable for failure to deliver or for delay in delivery or performance due to (a) a cause beyond its reasonable control, (b) an act of God, act or omission of the buyer, act of civil or military authority, governmental priority or other allocation or control, fire, strike, or other labor difficulty, riot or other civil disturbance, insolvency or other inability to perform by the manufacturer, delay in transportation or, (c) any other commercial impracticability.

 
Shipping

We will ship orders in the most economical method possible. We will ship via United Parcel Service (UPS) or truck unless prior arrangements have been made.

 
Hazardous business

Unless otherwise agreed to in writing by an authorized representative of Caribe USA management, goods sold hereunder are not intended for use in connection with any nuclear facility or any other hazardous activity such as commercial or military aircraft, missile installations, space exploration, or critical applications where failure of a single component could cause substantial harm to persons or property. If in fact, it is so used, Caribe USA disclaims all liability for any damage, contamination or other injury, and the buyer shall indemnify and hold Caribe USA harmless from such liability whether as a result of breach of contract, warranty, tort, including negligence, or other grounds. Neither Caribe USA nor its manufacturer suppliers shall have any liability to the buyer or its insurers on any grounds whatsoever for on-site damages to any property located at a nuclear facility.

 
Non standard products

Non standard or custom fabricated products are in no case subject to cancellation once the order has been place with the factories.

 
Order cancellation

Buyer may terminate an order only by mutual agreement based on payment to Caribe USA of 20% of costs of goods ordered as restocking and cancellation  charges.

 
Lost or damaged goods

Common carrier or motor freight shipments must be inspected for damage loss, or shortages upon receipt by the consignee. Any damages or loss claims must be made to the carrier as stated in our freight policy herein. Caribe USA will not be liable in any manner for damage or loss caused to a shipment by a common carrier.

 
Shortages

Shortages must be submitted within 15 days of invoice date. In any event of such claims, the customer is required to make timely payment of all other amounts that are not disputed or are subject to such claims.

 
Credit policy

In order to establish an open account with Caribe USA, we require bank references, three (3) trade references or submittal of a current certified financial statement. We will ship all orders upon payment by means of a wire transfer or on a  C.O.D. basis until such credit information has been submitted and approved by our credit department.

 
Returns and allowances

Returns will only be accepted if shipped from our facilities in error or under special circumstances resulting in prior written approval. All approvals will include the issuance of a Return Materials Authorization (RMA) number. This number must be clearly marked on the outside of all cartons and or crates containing returned goods. All approved returns not caused by our errors or omissions will be subject to handling charges and must be in a clean, resaleable condition with freight prepaid. Any goods returned to Caribe USA without prior written approval of the Return Materials Authorization number clearly marked on each carton or container will be refused and returned by carrier to the shipper.

 
Notice to buyer

Caribe USA will make every effort to furnish such advice as it may be able to supply with reference to the use by the buyer of any material purchased, but Caribe USA  makes NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO ANY MATERIALS PURCHASED and assumes no obligations or liabilities for the advice given either verbally or in print or the results obtained. Buyer hereby assumes all risk and liability which may result from the use of any product, whether used singly or in combination with other products. No suggestion for product use shall be construed as a recommendation for use in infringement on any existing patent.

LIMITED PRODUCT WARRANTY

All products  supplied by Caribe USA are not manufactured by Caribe USA, but they carry the original manufacturer's warranty, copies of which are available on request. Caribe USA makes no warranty or representation, expressed or implied, with respect to products not manufactured by Caribe USA.

All products supplied by Caribe USA will be free of defects in material and workmanship under normal use and service at the time of shipment from Caribe USA. If found to be defective we will replace the nonconforming parts or goods at our option or return the purchase price at our option. The offer to replace nonconforming goods within warranty does not cover defects caused by shipping damages, damages caused by improper use or installation, thermal or electrical capacity. Notice of a defective product must be given to Caribe USA in writing immediately upon the discovery of such defect BUT IN NO EVENT MORE THAN SIXTY (60) DAYS AFTER DATE OF SHIPMENT BY CARIBE USA, and must include a copy showing proof of purchase from Caribe USA. All freight costs incurred in shipping parts to or from Caribe USA or the manufacturer if necessary are at the expense of the customer.

Caribe USA's liability on any claim for loss or damages arising out of a contract or from performance or breach thereof or connected with the supplying of goods, or their sale, resale, operation or use, warranty, tort, including negligence, or other grounds, shall not exceed the price allowable to such goods or part thereof involved in any claim. Caribe USA shall not under any circumstances be liable for any labor charges, special or consequential damages including, but not limited to, loss of profits or revenue, loss of use of any product or associated product, cost of capital, cost of substitute products, facilities or services, downtime costs or costs of claims arising from buyer's customers. Caribe USA will not accept any liability for claims for repairs or other expenses incidental to replacement.

THE LIMITED WARRANTY OF CARIBE USA IS EXPRESSLY IN LIEU OF ALL WARRANTIES, EXPRESS STATUTORY, OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND OF ALL OTHER LIABILITIES OR OBLIGATIONS ON CARIBE USA'S PART, INCLUDING LIABILITY FOR INCIDENTAL, SPECIAL, AND CONSEQUENTIAL DAMAGES WITH RESPECT TO THE SALE OR USE OF THE PRODUCTS WARRANTED WHETHER OR NOT SUIT OR OTHER PROCEEDINGS BE INSTITUTED, AND CARIBE USA NEITHER ASSUMES NOR AUTHORIZES ANY REPRESENTATIVE OF CARIBE USA OR ANY OTHER PERSON TO ASSUME FOR IT ANY OTHER LIABILITIES IN CONNECTION WITH THE SALE OF THE PRODUCTS. THIS LIMITED WARRANTY MAY NOT BE VERBALLY CHANGED OR MODIFIED BY ANY REPRESENTATIVE OF CARIBE USA.
